Terms of Service

1. Operator, scope, and acceptance
These Terms of Service govern the Usable website, applications, APIs, and related services (the “Service”) supplied by Usable Sp/f, Vestara Bryggja 15, 100 Tórshavn, Faroe Islands (“Usable”, “we”, “us”). By creating an account or using the Service, you agree to these terms. If you use the Service for an organisation, you confirm that you are authorised to bind it.
You must be at least 16 years old and legally able to enter into these terms. Mandatory consumer rights that apply where you live are not limited by these terms.
2. The Service
Usable provides digital knowledge-management and AI-assisted features, including memory fragments, files, semantic search, knowledge graphs, workspaces, collaboration, APIs, and integrations. Features may change as the Service develops. Beta or experimental features may be changed or withdrawn and are supplied without a service-level commitment unless agreed separately in writing.
We aim to provide reliable access but do not promise uninterrupted availability. We may perform maintenance or temporarily restrict features where reasonably necessary for security, legal compliance, or service integrity.
3. Accounts and security
- Provide accurate account and billing information and keep it current.
- Keep credentials secure and promptly report suspected unauthorised access.
- You are responsible for activity performed through your account and for managing access to your workspaces.
4. Workspaces and collaboration
Workspace owners control membership, permissions, and workspace settings. Members may access and use workspace content only as permitted by the owner and their organisation. If you leave a workspace, content already contributed may remain available to that workspace subject to its owner’s instructions and applicable law.
5. Customer content
You retain ownership of content you submit (“Customer Content”). You grant Usable a limited, non-exclusive licence to host, reproduce, transmit, index, create embeddings from, back up, and display Customer Content only as necessary to provide, secure, maintain, and support the Service and follow your instructions.
You are responsible for ensuring that you have the rights, notices, and lawful authority needed to submit and process Customer Content. We do not use Customer Content to train general-purpose models for other customers or third parties. Export tools and formats available to you may depend on the relevant feature or plan.
6. Acceptable use
You must not use the Service to violate law or third-party rights; distribute malware; harass or harm others; impersonate another person; attempt unauthorised access; interfere with the Service; evade usage or security limits; scrape or resell the Service without permission; or submit content that is unlawful, fraudulent, or infringing. We may remove content or restrict access where reasonably necessary to protect users, the Service, or comply with law.
7. Plans, prices, and usage
Current plan prices, included allowances, credit conversion rates, and overage rates are published on our Pricing page. Prices are in USD unless checkout states otherwise. Applicable taxes and the total due are shown before confirmation where required.
Measured usage above a paid plan’s included allowance is charged at the published rate. Usage information is made available in the Service so you can monitor consumption.
8. Payment methods and renewal
The billing interval, price, payment provider, and accepted payment methods are shown at checkout. Paid subscriptions renew automatically for the selected interval until cancelled. You authorise the provider identified at checkout to charge subscription fees, measured usage, and applicable taxes to your selected payment method.
If payment fails, we may retry the payment, ask you to update the payment method, limit paid features, or suspend the paid subscription after reasonable notice.
9. Plan changes and cancellation
You may change or cancel a subscription in the billing area or through customer service. Unless checkout, a separate agreement, or mandatory law states otherwise, cancellation takes effect at the end of the current paid billing period and paid access continues until then. Plan-change timing and any prorated amount are shown before confirmation.
10. Refunds and digital fulfilment
Usable is delivered digitally through the customer account. No physical goods are sold or shipped through www.usable.dev. Fees for elapsed periods and usage already consumed are normally non-refundable, but we refund duplicate charges, charges after an effective cancellation, incorrect amounts, and paid Service not delivered because of an unremedied failure attributable to Usable.
Further activation, cancellation, duplicate-charge, and refund conditions are in our Refund & Digital Fulfillment Policy, which forms part of these terms. Nothing limits withdrawal, cancellation, or refund rights that cannot lawfully be excluded.
11. AI processing
AI-assisted features may create embeddings, relationships, summaries, or suggestions from Customer Content. Outputs may be incomplete or inaccurate and should be reviewed before reliance. Customer Content may be sent to the AI provider selected by Usable or configured by a workspace administrator to perform requested features. Workspace administrators are responsible for integrations and provider choices they configure.
12. Third-party services
The Service may link to or integrate with third-party services. Their terms and privacy practices apply to your use of those services. Usable is not responsible for third-party services or for content, availability, or changes outside our reasonable control.
13. Intellectual property and feedback
Usable and its licensors own the Service, software, branding, documentation, and related intellectual property, excluding Customer Content. These terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these terms. If you provide feedback, we may use it without obligation to you.
14. Privacy and data protection
Our Privacy Policy explains how we process personal data, the service providers involved, retention, and your rights. For Customer Content processed on an organisation’s instructions, the organisation is normally the controller and Usable acts as its processor under applicable data-processing terms.
15. Suspension, termination, export, and deletion
You may stop using the Service at any time. We may suspend or terminate access for a material breach, unlawful use, non-payment, or a security risk, normally after notice and an opportunity to remedy where appropriate. After account or workspace closure, export and deletion are handled through available product controls or customer service, subject to backup cycles, legal holds, and mandatory retention obligations.
16. Warranties and liability
We use reasonable care and skill in providing the Service. To the extent permitted by law, the Service is otherwise supplied “as is” and we do not guarantee that it will be uninterrupted, error-free, or suitable for every purpose.
To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, or loss caused by Customer Content, third-party integrations, or events outside our reasonable control. Nothing excludes or limits liability that cannot legally be excluded or limited, including liability for fraud or wilful misconduct.
17. Changes to these terms
We may update these terms to reflect changes to the Service, law, or our operations. We will publish the updated version and effective date and provide reasonable advance notice of material changes where required. Where a change materially affects rights or obligations, we may require you to accept the new version before continuing to use the Service.
18. Governing law and disputes
These terms are governed by the laws of the Faroe Islands, without regard to conflict-of-law rules. The courts of the Faroe Islands have jurisdiction, unless mandatory consumer or other applicable law gives you the right to bring a claim elsewhere. Please contact us first so we can try to resolve a concern promptly.
19. General
These terms, the policies incorporated by reference, and any separate written agreement form the agreement governing the Service. If a provision is unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them to an affiliate or in connection with a merger, reorganisation, or sale of the Service.
